Vertex Pharmaceuticals Incorporated (Nasdaq: VRTX) and Crinetics Pharmaceuticals, Inc. announced a definitive agreement under which Vertex will acquire Crinetics for $85.00 per share in cash. The transaction represents a total equity value of approximately $10.0 billion (about $8.8 billion net of estimated cash acquired) and is expected to close in the third quarter of 2026.
The strategic acquisition infuses Vertex’s pipeline with high-value commercial and late-stage endocrinology assets with an estimated peak sales opportunity of approximately $5 billion. The key assets include, PALSONIFY® (paltusotine),the first and only once-daily oral therapy for adults with acromegaly. Approved by the FDA in September 2025 and recently approved by the EMA, it offers an effective alternative to traditional injectable somatostatin analogues. A first-in-class, once-daily oral ACTH receptor antagonist Atumelnantcurrently in Phase 3 development for congenital adrenal hyperplasia (CAH), with additional clinical potential for Cushing’s syndrome.

The transaction has been unanimously approved by the Boards of both companies. Vertex will finance the acquisition using a combination of cash on hand and debt, supported by $4.5 billion in fully committed bridge financing.
