Corxel Pharmaceuticals announced today that it has entered into a definitive business combination agreement with AmanatAcquisition Corp. to take its U.S. obesity-focused business public. The transaction is expected to generate approximately $377 million in gross proceeds, backed by $300 million in committed private investment in public equity (PIPE) financing from leading healthcare and institutional investors.
The business combination is slated to close in the first half of 2027, subject to customary closing conditions. Upon completion, the capital will primarily support the clinical advance and development of Corxel’s proprietary oral obesity and cardiometabolic therapy pipeline.
Corxel’s clinical portfolio is spearheaded by two novel investigational assets designed to provide convenient, non-invasive oral alternatives in the rapidly evolving metabolic space.CX11: An investigational oral glucagon-like peptide-1 (GLP-1) receptor agonist engineered to optimize metabolic control and weight reduction,CX12: An investigational oral amylin receptor agonist formulated to target complementary neurohormonal satiety and metabolic regulation pathways.
With obesity and associated cardiometabolic disorders presenting significant public health burdens worldwide, this transaction provides Corxel with the balance-sheet strength and institutional backing required to scale operations. The financing highlights an effective pathway for emerging biotechnology enterprises to secure vital capital, accelerate late-stage development programs, and build a competitive footprint in the expanding global obesity therapeutics landscape.
Corxel remains focused on advancing its differentiated pipeline candidates through targeted clinical evaluations and addressing key unmet patient needs in metabolic care.
