On Monday, October 12, 2026 Emcure Pharmaceuticals Limited has approved a draft scheme to merge its two wholly owned subsidiaries, Zuventus Healthcare Limited and Emcutix Biopharmaceuticals Limited, with the parent company. The proposed amalgamation is intended to rationalise the corporate structure and enhance operational efficiency.
The company’s board approved the Composite Scheme of Amalgamation at its meeting. The proposal will be implemented subject to the necessary statutory and regulatory approvals, including sanction from the National Company Law Tribunal (NCLT), Mumbai Bench.
Zuventus Healthcare recorded a turnover of ₹1,040.58 crore in the financial year 2025–26, while EmcutixBiopharmaceuticals reported a turnover of ₹29.37 crore during the same period. As of March 31, 2026, their reported net worth stood at ₹871.46 crore and negative ₹13.07 crore, respectively. In that same period Emcure Pharmaceuticals reported a turnover of ₹5,243.19 crore.
Since both companies are wholly owned subsidiaries of Emcure Pharmaceuticals, the scheme does not involve any consideration payment or issuance of new shares. Consequently, the merger is not expected to alter the parent company’s shareholding pattern.
The proposed restructuring represents an internal consolidation of Emcure’s pharmaceutical businesses. By bringing the two subsidiaries directly under the parent entity, the company aims to streamline its corporate framework and improve operational coordination.
The merger will proceed once the required statutory and regulatory approvals are secured.
